These Terms of Service ("Terms") govern your access to and use of the Adzy platform and services provided by DUPLE.AI LLC ("we," "us," or "our"). By creating an account or using Adzy, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using Adzy, you confirm that you are at least 18 years old, have the legal authority to enter into these Terms, and agree to comply with all applicable laws and regulations. If you are using Adzy on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

2. Service Description

Adzy is an AI-powered advertising management platform that helps users optimize, manage, and automate digital advertising campaigns across multiple platforms. Our services include AI-driven campaign optimization, creative generation, performance analytics, and automated ad management.

3. Account Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Free Trial

Adzy offers a 3-day free trial that requires a valid credit card. During the trial, you have full access to the platform's features. At the end of the trial period, you must subscribe to a paid plan to continue using the service. We reserve the right to modify or discontinue the free trial at any time.

5. Subscription and Billing

5.1 Plans and Pricing

• Monthly Plan: $65 per month, billed monthly.
• Annual Plan: $399 per year, billed annually.

Prices are in US dollars and are subject to change. We will provide at least 30 days' notice before any price increases take effect for existing subscribers.

5.2 Billing

By subscribing, you authorize us to charge your selected payment method on a recurring basis. Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.

5.3 Taxes

All fees are exclusive of taxes. You are responsible for any applicable taxes, duties, or levies imposed by your jurisdiction.

6. Cancellation

• You may cancel your subscription at any time through your account settings.
• Upon cancellation, you retain access to the service through the end of your current billing period.
• No partial refunds are issued for unused time on monthly plans.

7. Refunds

Refund terms are governed by our Refund Policy, which is incorporated into these Terms by reference.

8. Acceptable Use

You agree not to:

• Use Adzy for any illegal purpose or in violation of any applicable laws.
• Violate the terms of service of any connected advertising platform (Meta, Google, TikTok, etc.).
• Promote deceptive, fraudulent, or misleading advertising content.
• Attempt to reverse-engineer, decompile, or extract the source code of any part of Adzy.
• Interfere with or disrupt the platform's infrastructure or other users' access.
• Share your account credentials or allow unauthorized access to your account.
• Use automated scripts, bots, or scrapers to access the platform outside of intended functionality.
• Resell, sublicense, or redistribute Adzy's services without our written consent.

9. Intellectual Property

9.1 Our IP

Adzy, including its software, AI models, algorithms, designs, logos, and documentation, is the intellectual property of DUPLE.AI LLC. These Terms do not grant you any ownership rights in our platform or technology.

9.2 Your Content

You retain ownership of any content, creative assets, and data you upload to or create through Adzy. By using the service, you grant us a limited license to use your content solely for the purpose of providing and improving our services.

9.3 AI-Generated Content

Content generated by Adzy's AI tools (including ad copy, creative suggestions, and optimization recommendations) is provided for your use in connection with your advertising campaigns. You are solely responsible for reviewing, approving, and ensuring the accuracy and compliance of any AI-generated content before publishing it. We do not guarantee that AI-generated content is free from errors, biases, or intellectual property conflicts.

10. Third-Party Integrations

Adzy integrates with third-party advertising platforms and services. Your use of these integrations is subject to the respective third party's terms of service and privacy policies. We are not responsible for the actions, content, or policies of third-party services.

11. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may temporarily suspend the service for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

12. Limitation of Liability

To the maximum extent permitted by law:

• Our total aggregate liability to you for any claims arising from or related to these Terms or the service shall not exceed the total amount you paid to us in the 12 months preceding the claim.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or advertising spend.
• We are not liable for any losses resulting from actions taken by connected advertising platforms (e.g., account suspensions, policy violations, ad disapprovals).
• We are not responsible for the performance of your advertising campaigns, as results depend on many factors outside our control.

13. Warranty Disclaimer

Adzy is provided on an "as-is" and "as-available" basis. We make no warranties, express or implied, regarding the service, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or that the service will be error-free or produce specific advertising results. AI-generated recommendations are suggestions, not guarantees of performance.

14. Indemnification

You agree to indemnify, defend, and hold harmless DUPLE.AI LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the service, (b) your violation of these Terms, (c) your advertising content or campaigns, or (d) your violation of any third party's rights.

15. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising from these Terms or the service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Delaware. Each party shall bear its own costs, and the arbitrator's decision shall be final and binding.

16. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the platform at least 30 days before they take effect. Your continued use of Adzy after updated Terms take effect constitutes acceptance. If you do not agree with the changes, you must cancel your subscription before the new Terms take effect.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, and Cookie Policy, constitute the entire agreement between you and DUPLE.AI LLC regarding the use of Adzy.
